F9 Audio Ltd is an electronic media and audio company dedicated to advancing music production. We provide electronically downloadable "Soundware" products—including digital audio recordings, sample packs, loops, presets, and patches for third-party software, music production software, and related educational or production materials—along with all related website information, content, features, tools, and services (collectively, the "Services"). Our products are designed for use by musicians, music producers, composers, audio engineers, film and television editors, game developers, and sound designers. F9 Audio is powered by Shopify Inc., Shopify Commerce Singapore Pte. Ltd., or Shopify International Limited, which provides the e-commerce platform that enables us to offer the Services to you.

3. License Agreement & Usage of F9 Audio Products

3.1 Licensed, Not Sold (Royalty-Free Soundware)

All digital products, sample packs, audio recordings, presets, patches, and software offered on www.f9-audio.com are licensed, not sold, to you by F9 Audio Ltd. All uses on this website of the terms "sell", "sale", "purchase", "buy", "price", and similar terms mean the purchase or grant of a limited license under our F9 Audio License Agreement (or applicable software EULA).

F9 Audio Ltd is either the copyright owner or the entitled licensee of all products offered on this store. Subject to your full compliance with these Terms and the F9 Audio License Agreement, our "royalty-free" license grants you the non-exclusive right to incorporate our audio samples, loops, and presets within your own original musical compositions and synchronized media productions (including commercial music releases, film and television soundtracks, video games, broadcasts, websites, and other audio-visual productions) without paying any additional royalties or license fees to F9 Audio Ltd or any third parties.

3.2 Strict Prohibitions on Redistribution & Competitive Use

Except as expressly permitted in the F9 Audio License Agreement, the copying, reselling, sublicensing, hiring, leasing, loaning, sharing, duplicating, or distribution in any form of any F9 Audio product—or any individual samples, stems, loops, MIDI files, patches, presets, or software contained therein—is strictly prohibited.

  • You must not upload, share, or distribute F9 Audio products via file-sharing websites, torrent networks, peer-to-peer systems, web forums, cloud storage links, computer networks, or file-hosting services.
  • Products and their individual audio or preset components cannot be distributed in isolation (in their original or modified raw format) or repackaged, resold, or used to create any other sample pack, sound library, preset bank, virtual instrument, or product that could be considered competitive to F9 Audio Ltd's business interests.
  • You must not use any F9 Audio audio recordings, samples, stems, presets, or materials as training data or input for artificial intelligence (AI), machine learning, or generative audio models or datasets.
  • If we provide desktop, plugin, mobile, or other software applications for download, your download and use of such software is additionally governed by the applicable End User License Agreement ("EULA") presented with the software.

You agree that you will comply with all terms of the F9 Audio License Agreement and will not cause, induce, or permit any third party's non-compliance. Except for the limited license expressly granted to you, all right, title, and interest in and to the products remain exclusively with F9 Audio Ltd or its licensors.

4. Our Products & Modifications to Services

We make every effort to provide an accurate representation of our products and services in our online store, including audio demos, video walkthroughs, and technical specifications (such as required third-party DAW or synth versions). Please ensure that you own and have installed the compatible host software or hardware specified on the product page before purchasing. Visual depictions or colors may differ depending on your screen and device configuration.

All descriptions of products and product pricing are subject to change at any time without notice at our sole discretion. We reserve the right at any time to modify, suspend, or discontinue any product or any part of the Services without notice, and we may limit the quantities of any products or licenses offered to any person, geographic region, or jurisdiction on a case-by-case basis. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Services or any product.

5. Orders, Pricing, Taxes & Billing

5.1 Order Acceptance

When you place an order, you are making an offer to purchase a license to the selected product(s) and authorizing us and our payment processors to charge your selected payment method for the total amount of your order. F9 Audio reserves the right to accept, decline, or cancel your order for any reason at its sole discretion, subject to applicable law. Your order is not accepted until we receive and process your payment and confirm acceptance. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you using the email address, billing address, or phone number provided at checkout.

5.2 Pricing, Currencies & Taxes

Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed, as set out in your order confirmation email. Our store base currency is Great British Pounds (GBP), though prices may be displayed or processed in supported local currencies. Applicable sales taxes, Value Added Tax (VAT), or Goods and Services Tax (GST)—which for UK, EU, and other applicable international residents are calculated according to your location—will be included in or added to the price at checkout as required by law.

We may offer promotional codes, bundle discounts, or limited trials from time to time, which may be governed by separate terms and conditions. 5.3 Payment Methods & Billing Accuracy

Payments are processed securely on behalf of F9 Audio Ltd by trusted third-party payment gateways, including Shopify Payments (Shop Pay, Visa, Mastercard, American Express, and other supported cards) and PayPal. No sensitive financial card numbers or bank details are stored directly by F9 Audio Ltd. We do not guarantee the continuous availability of any specific payment method and may add, remove, or suspend payment methods at our discretion.

If you authorize PayPal or Shop Pay for future purchases, the payment provider or website may store an authorization token linked to your account to process future orders or authorized installments. You may revoke this authorization at any time through your PayPal or Shop Pay account settings or by contacting us.

You represent and warrant that: (1) you are authorized to use the payment method you provide; (2) the billing and payment information you provide is true, correct, and complete; (3) charges incurred by you will be honored by your payment provider; and (4) you will pay all charges incurred at the posted prices, including all applicable taxes.

6. Digital Delivery & Refund Policy

6.1 Instant Digital Delivery

After your payment is successfully processed, you will be automatically directed to a final transaction/download page where you can immediately download your purchased product(s), and you will also receive a confirmation email containing your download link(s) (with multiple download attempts provided). If you experience any technical difficulties downloading or accessing your purchase, please contact us at info@f9-audio.com and we will assist you promptly.

In the rare event that a physical item is shipped, delivery times are estimates only and we are not liable for delays caused by shipping carriers, customs processing, or events beyond our reasonable control.

6.2 Non-Refundable Digital Downloads

All downloadable digital products purchased from F9 Audio Ltd are non-refundable once the download link has been accessed or the digital content has been downloaded.

When you purchase a downloadable product from F9 Audio Ltd, you are purchasing an immediate, royalty-free license to access and use unencrypted digital audio and software content that cannot be physically "returned." Under UK and EU consumer protection laws (including the Consumer Contracts Regulations), by completing your purchase and choosing to immediately access or download digital content, you expressly consent to the immediate performance of the contract and acknowledge that you lose your statutory 14-day right to cancel (cooling-off period) once the download or delivery of the digital content has begun.

Please check all product descriptions and software compatibility requirements carefully before completing your purchase. Nothing in this section affects your mandatory statutory rights in the event that a digital product is proven to be defective or faulty and cannot be remedied by our support team.

7. Website Intellectual Property Rights

All other third-party product names, DAW names, synthesizer names, logos, and brands mentioned on the Services (such as Ableton, Logic Pro, Kontakt, Serum, etc.) are the trademarks of their respective owners and are used solely to indicate product compatibility. No right, title, or interest in or to the website or its content is transferred to you, and all rights not expressly granted are reserved by F9 Audio Ltd.

8. Prohibited Uses & Automated Agents

8.1 Prohibited Activities

You may access and use the Services for lawful purposes only. You agree not to use the Services or their content, directly or indirectly:

  • (a) For any unlawful, fraudulent, or malicious purpose, or to solicit others to perform or participate in any unlawful acts;

F9 Audio is powered by Shopify, which enables us to provide the Services to you. When you use the Services, your device communicates with Shopify's systems to deliver the Services. However, any sales, licenses, and purchases you make in our store are made directly with F9 Audio Ltd. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales or license transactions between you and F9 Audio Ltd, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with F9 Audio Ltd.

You represent and warrant that: (1) you own or have all necessary rights to submit the Feedback; (2) you have disclosed any compensation or incentives received in connection with your submission; (3) your Feedback does not violate any copyright, trademark, privacy, personality, or other personal or proprietary right of any third party; and (4) your Feedback does not contain libelous, defamatory, unlawful, abusive, or obscene material, or any computer virus or malware. You will remain liable for all amounts due up to and including the date of termination.

If your right to use the Services or any licensed product is terminated due to a breach of these Terms or the License Agreement, your license to use the relevant products stops immediately and you must, at our option, return or destroy all copies of the materials and products in your possession.

We also reserve the right, without notice, to take appropriate legal action, including referral to or cooperation with law enforcement or regulatory authorities, or notifying any harmed third party of any illegal or unauthorized use of the Services. WHILE F9 AUDIO LTD TAKES REASONABLE STEPS TO ENSURE THAT OUR WEBSITE AND DOWNLOADABLE FILES ARE SECURE AND FREE FROM VIRUSES, TROJANS, MALWARE, OR HARMFUL CODE, WE DO NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE COMPLETELY FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW (AND EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW), IN NO EVENT SHALL THE AGGREGATE LIABILITY OF F9 AUDIO LTD ARISING OUT OF OR RELATED TO THESE TERMS OF SERVICE OR ANY PRODUCTS OR SERVICES PURCHASED HEREUNDER—WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE—EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO F9 AUDIO LTD FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS OF SERVICE EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE UK OR LOCAL CONSUMER PROTECTION LAW.

17. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless F9 Audio Ltd, Shopify, and our respective parent, subsidiaries, affiliates, partners, officers, directors, employees, agents, contractors, licensors, suppliers, successors, and service providers from and against any losses, damages, liabilities, judgments, awards, claims, demands, costs, expenses, or fees (including reasonable legal and attorneys' fees) payable to any third party due to or arising out of: (1) your breach of these Terms of Service, the F9 Audio License Agreement, or the documents they incorporate by reference; (2) your violation of any law or the rights (including intellectual property rights) of a third party; or (3) your unauthorized use of the Services or any products or digital content obtained from this website.

We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We reserve the right to control the defense and settlement of any such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You agree to cooperate fully in the defense of any indemnified claim.
